• Client responsibilities (e.g., providing data, making staff available for interviews) are set out in the engagement letter and are essential to timely delivery

12. Dispute Resolution and Governing Law

These terms are governed by the laws of Hong Kong Special Administrative Region. In the event of a dispute:

• The parties agree to first attempt to resolve the matter informally through direct discussion
• If unresolved within 30 days, the parties may pursue mediation through the Hong Kong International Arbitration Centre (HKIAC) before commencing formal proceedings
• The courts of Hong Kong shall have exclusive jurisdiction over any dispute not resolved through the above process

13. General Provisions

• Entire Agreement: These terms, together with any signed engagement letter, constitute the entire agreement between the parties regarding the subject matter
• Severability: If any provision is found to be unenforceable, the remaining provisions continue in full effect
• Waiver: Failure to enforce any provision does not constitute a waiver of that provision
• Assignment: You may not assign your rights under these terms without our written consent
